These Terms and Conditions ("Terms") govern your use of Sustainium, a multi-tenancy carbon accounting platform. By creating an account, accessing, or using the platform, you agree to these Terms. If you do not agree, please do not use the platform.
1. Definitions
- Platform: The Sustainium carbon accounting software offered as a multi-tenant SaaS solution.
- Tenant: A separate workspace within the Platform for an organization or operational unit.
- Organization: A legal entity represented as a tenant on the Platform.
- Admin: A designated user responsible for managing tenant users, data, and configurations.
- Consultant: A third-party managing multiple tenants for their customers.
- End User: An individual granted access by a tenant Admin or Consultant.
- Subscription: The agreed pricing and usage model for accessing the Platform.
- Cloud Products: Hosted offerings provided by Sustainium, including the SaaS platform and associated services.
2. Acceptance of Terms
By accessing or using Sustainium, you confirm that you:
- Agree to be bound by these Terms and any future updates.
- Represent that you are at least 18 years old or have legal authority to bind your organization to these Terms.
- Understand that violating these Terms may result in the suspension or termination of your account.
3. Access to the Platform
Provision of Services:
- Sustainium provides access to its Cloud Products based on your subscription plan.
- Sustainium will use commercially reasonable efforts to ensure availability and reliability of the services.
Restrictions:
- You may not reverse engineer, decompile, or attempt to extract source code from any part of the Platform.
- You agree not to use the Platform to infringe on intellectual property or violate any laws.
Your Responsibilities: Ensure your account information is accurate and up-to-date, safeguard login credentials, and prevent unauthorized access to your account.
4. Multi-Tenant Model
a. Organization Tenants
- Each organization operates its own tenant with isolated data, custom configurations, and specific user access.
- The Admin is responsible for managing users, permissions, and data within their tenant.
b. Consultants Managing Multiple Tenants
- Consultants pay a flat annual fee to administer multiple tenants.
- Consultants are responsible for ensuring proper setup, data management, and compliance across all tenants under their administration.
c. Organizations with Multiple Tenants
- Organizations may create separate tenants for different operational regions or divisions.
- Each tenant will have its own Admin, and the organization is responsible for managing coordination across these tenants.
5. Data Privacy and Security
- Ownership of Data: Organizations and Consultants own all data they upload to the Platform.
- Sustainium may use anonymized data for analytics, research, and product improvements.
- Data Use and Sharing: Sustainium may process your data as necessary to provide services, comply with legal obligations, or improve the platform.
6. Subscription and Payment Terms
- Organizations: Billed based on the number of tenants, users, features, or usage tiers specified in the subscription plan.
- Usage exceeding agreed limits may incur additional charges.
- Consultants: Billed annually under a flat-fee model with limits on the number of tenants and users.
- Additional fees will apply if the number of tenants or users exceeds the limits defined in the subscription plan.
- General Payment Terms: Invoices are issued in advance, and payments are due as specified in the invoice.
- Refunds are only processed as required by law.
7. Acceptable Use
- Use the Platform solely for lawful purposes.
- Refrain from attempting to access other tenants' data without authorization.
- Avoid introducing malicious content such as viruses or harmful code.
Violations may result in the immediate suspension or termination of your access to the Platform.
8. Service Levels and Support
- Sustainium will use commercially reasonable efforts to ensure the availability and reliability of the Platform.
- Planned maintenance or updates may occasionally affect availability, and advance notice will be provided when possible.
Support services are available via email or phone during standard working hours, as outlined in your subscription plan:
- Standard Plans: Include support via email or phone during standard working hours.
- Premium Plans: May include priority support or a dedicated account manager for more comprehensive assistance.
9. Service Updates and Modifications
- Sustainium may deploy updates or enhancements to its Cloud Products without prior notice.
- Material changes to features or services will be communicated in advance.
10. Termination
- For Organizations: Sustainium may suspend or terminate access for non-payment or policy violations.
- Upon termination, organizations may request data export within 30 days.
- For Consultants: Consultants exceeding their allowed tenant count under the subscription plan may have additional charges or restricted access.
11. Limitation of Liability
- Sustainium is not responsible for data inaccuracies provided by users.
- Service interruptions beyond its reasonable control.
Liability is limited to the amount paid by the organization or consultant in the last 12 months.
12. Governing Law and Dispute Resolution
- These Terms are governed by the laws of Alameda County, California.
- Any disputes will be resolved in the U.S. District Court for the Northern District of California or the courts of Alameda County, California.
13. Modifications to Terms
- Sustainium reserves the right to update these Terms as needed.
- Material changes will be communicated to users in advance.
- Continued use of the Platform after updates constitutes acceptance of the new Terms.
